Business account opening

How do we open business accounts with beneficial owners, signers and resolutions collected once instead of over email?

Treat the business account opening as one case with several parties. Callvu identifies the entity, collects the formation documents, the beneficial ownership certification and each signer's identification, chases each person for only what they owe, routes the BSA review, and writes the account, the owners and the signers to the core once. Live at Bank Leumi, under national rules outside the US.

The problem today

The entity's file is assembled from six emails, and the beneficial owner certification is the last one to arrive.

Today, without Callvu

A banker opens a business account by email: articles of organization from the owner, a resolution from the secretary, a driver's license from each signer, a beneficial ownership form that comes back half filled. The banker keys the entity into the core, deposit operations keys the signers, and the BSA team receives a scanned bundle to review after the account is already open.

The CDD rule requires the bank to identify and verify each beneficial owner (every individual with 25 percent or more of the equity, and one individual with significant control) at the time the account is opened, with a certification from the person opening it. CIP applies to the entity and, under most banks' policies, to every signer. A certification that arrives after opening, or a signer whose identification was never verified, is a finding.

Nobody owns the chase. The owner is asked twice for the same document, the signer who travels is never reached, and the account sits half open while the business waits to run payroll from it.

How it runs

From the requestto the system of record.

A business owner starts with a banker or online. Callvu opens one case for the entity, identifies the people who will have to act (owners, signers, the person certifying beneficial ownership), and contacts each of them directly.

Business owner
Provides the entity information, the formation documents and the beneficial ownership certification, and signs.
Banker
Starts the case, sees the whole file as it fills, and answers the applicant's questions without retyping anything.
Deposit operations
Reviews exceptions and sees every booked account with its signers and file.
BSA team
Reviews the beneficial ownership and risk rating where policy requires a review before the account is opened.
Callvu
Classifies the entity, sets the required items, chases each party, verifies, routes the review, and writes to the core and the BSA system.
  1. Prefill and classify the entity

Callvu reads what the bank already holds on the business or its principals and prefills it. The entity type (corporation, LLC, partnership, sole proprietorship, nonprofit) decides the formation documents required, whether beneficial ownership applies, and who may sign the resolution.

  2. Beneficial ownership certification

The person opening the account completes the certification: each individual with 25 percent or more of the equity and one individual with significant control, with name, date of birth, address and identification number for each. Exempt entity types skip the certification by rule, and the exemption is recorded.

  3. Chase and verify each party

Each owner and each signer is asked, by email or text with a link, for only what they owe: an identification document and, for signers, their acceptance of the resolution. Each document is read and checked as it arrives. The case shows who has not answered and for how long.

  4. Verify the entity and the people

The entity is verified against the formation documents and the state registry; each person's CIP data is verified and screened against the government lists. A mismatch becomes an exception on the case, not a silent gap.

  5. Decide

A complete, verified case with a standard risk profile books automatically. A list hit, a high-risk business type or a verification exception routes to the BSA team or deposit operations in the Decision Desk with only the allowed outcomes.

  6. Write back

The entity, the beneficial owners, the signers with their authorities, the certification, the resolution and the verification results are written to the core, the signature system and the BSA system once.

Where it ends: The account is open in the core with its signers and authorities, the beneficial owners are recorded in the BSA system with the certification, and every document and check is in the Audit Trace, with the reasons for each routing and decision in the Decision Trace.

Runtime enforcement

What is enforcedwhile the work runs.

The regulations preloaded in Callvu Studio and the bank's own policies, applied as steps that run, not lines in a binder. A step that breaks a rule does not run, so a completed run was compliant.

The handoff

Between the front doorand the back office.

The front door

The banker or the business owner starts the case; the other parties enter through links sent to them. Each person acts on their own phone, on process-controlled screens, and the banker sees the whole case fill.

The back office

Deposit operations and the BSA team receive a complete, verified case, not a scanned bundle. The account, signers and owners reach the core and the BSA system once.

The Decision Desk

  • A government list hit, a higher-risk business type or a verification exception goes to the BSA team in the Decision Desk with the entity, the owners, the results and only the outcomes policy allows.
  • A signer who has not responded is nudged by text or email until they act, and the case shows how long each item has waited.

Questions

What buyers ask next,answered plainly.

Does each signer have to come into the branch?

No. Each signer receives a link, uploads their identification, accepts the resolution and signs on their own phone. The banker sees the case fill in real time.

How is the beneficial ownership certification enforced?

The account cannot be created until the certification is complete and signed, with each owner identified, unless the entity type is exempt and the exemption is recorded on the case.

What if an owner is on a government list?

The case goes to the BSA team in the Decision Desk with the hit and only the allowed outcomes. The account does not open until a person decides.

Where do the owners and the risk rating end up?

In the BSA system, which stays the system of record for ownership and risk. The account and signers go to the core and the signature system.

Does the business owner have to answer the same question twice?

No. Each party is asked only for what they owe, and what the bank already holds on the business or its principals is prefilled.
